In no event will Financial Crossing or iGrad, be liable for any damages, including without limitation direct or indirect, special, incidental, punitive, exemplary or consequential damages, losses or expenses arising in connection with this site or use thereof or inability to use by any parties, or in connection with any failure of performance, error, omission, interruption, defect, delay in operation or transmission, computer virus or line or system failure, even if Financial Crossing, iGrad or representatives thereof, are advised of the possibility of such damages, losses or expenses. Proposals and analysis shown are based on your self-assessed financial input and any errors regarding input are your specific responsibility as the user.

Dispute Resolution

By making use of this service, you agree that any claim or controversy arising out of or relating to the use of this proposal, to the goods or services provided by Financial Crossing and iGrad (including, for purposes of these arbitration provisions, their parents, subsidiaries, affiliates, licensees, predecessors, successors, assigns, and all of their officers, directors, employees, agents and assigns or any and all of them) or to any acts or omissions for which you may contend Financial Crossing or iGrad are liable, including but not limited to any claim or controversy as to arbitrability ("Dispute"), shall be finally, and exclusively, settled by arbitration. The arbitration shall be held before one arbitrator under the commercial arbitration rules of the American Arbitration Association ("AAA") in force at that time. The arbitration shall be venued at a location within the federal judicial district that includes your billing address at the time the claim is filed, or at some other place to which you and we agree in writing. The arbitrator shall be selected pursuant to the AAA rules. Should no AAA rule regarding the selection of an arbitrator be in effect, the consumer shall select an arbitrator from a panel of arbitrators acceptable to iGrad or Financial Crossing. In any arbitration, Financial Crossing, or iGrad will pay the filing fee, plus the costs associated with the first day of arbitration, with the remaining costs of arbitration to be determined by the arbitrator, provided, however, that in Maine any cost to the consumer shall be limited to the cost of filing a court case. In no event will you be required to pay for arbitration fees in an amount greater than what your court costs would have been if the Dispute had been resolved in a state court with jurisdiction. To begin the arbitration process, a party must make a written demand therefore.

The arbitrators shall not have the power to award damages in connection with any Dispute in excess of actual compensatory damages and shall not multiply actual damages or award consequential, punitive or exemplary damages, and each party irrevocably waives any claim thereto, except in Maine where state law will control all rights and remedies in the arbitration.

The agreement to arbitrate shall not be construed as an agreement to the joinder or consolidation of an arbitration under this agreement with an arbitration of disputes or claims of any nonparty, regardless of the nature of the issues or disputes involved. No Dispute submitted to arbitration is heard by a jury and no claim may be brought as a class action or as a private attorney general.

BY USE OF THIS SERVICE, YOU AGREE THAT ALL DISPUTES BETWEEN YOU, FINANCIAL CROSSING OR iGRAD WILL BE RESOLVED BY BINDING ARBITRATION. YOU THUS GIVE UP YOUR RIGHT TO GO TO COURT TO ASSERT OR DEFEND YOUR RIGHTS. YOU ALSO GIVE UP YOUR RIGHT TO PARTICIPATE IN OR BRING CLASS ACTIONS. YOUR RIGHTS WILL BE DETERMINED BY NEUTRAL ARBITRATORS AND NOT A JUDGE OR JURY.

You are entitled to a fair hearing, but the arbitration procedures are simpler and more limited than rules applicable in court. Arbitrator decisions are enforceable as any court order and are subject to very limited review by a court. By using this proposal you consent to these restrictions. Any arbitration requirements set forth in this document shall be subject to state law restrictions.

You agree that all Disputes now in existence or that may arise in the future are to be resolved in accordance with these arbitration provisions. These arbitration provisions shall survive the termination of this service, as well as any bankruptcy by you. Should a Dispute arise and should the arbitration provisions herein become inapplicable or unenforceable, or in any instance of any lawsuit between you and iGrad or Financial Crossing, the parties agree that jurisdiction over and venue of any suit shall be exclusively in the state and federal courts sitting in San Diego, California. If either party employs attorneys to enforce any right in connection with any Dispute or lawsuit, the prevailing party shall be entitled to recover reasonable attorneys" fees. If any part of these arbitration provisions is found to be inapplicable or unenforceable, the remainder of these arbitration provisions shall be enforceable without regard to such inapplicability or unenforceability.
